North Atlantic Ltd is a European company, officially registered in Finland under the name North Atlantic Oy (), with North Atlantic Ltd listed as a parallel company name.

North Atlantic Ltd serves as the parent company within a corporate structure that includes North Atlantic UK Ltd and is responsible for the development, management, and distribution of products offered under the NORAI brand.

Legal Ownership and Terms Acceptance

These Terms of Use (“Terms”) govern your access to and use of websites, applications, services, and digital products provided by North Atlantic Ltd (Finland), including its subsidiary North Atlantic UK Ltd and any services offered under associated brands such as NORAI, and other tools provided under the North Atlantic ecosystem (collectively, “North Atlantic,” “we,” or “us”).

By accessing or using any North Atlantic websites or services, you agree to be bound by these Terms and our Privacy Policy.

1. Scope of Application

These Terms apply to the North Atlantic Site located at northatlantic.fi, and all associated sites linked to northatlantic.fi by North Atlantic, its subsidiaries and affiliates, including North Atlantic sites and services around the world, all current and future digital tools or services provided by North Atlantic, including but not limited to AI assistants, hosted solutions, downloadable software, APIs and deployment toolkits, both hosted and self-hosted implementations provided by North Atlantic or deployed under license by a client (collectively, the “Site”).

These Terms are binding for all users, clients, partners, and developers interacting with or deploying any part of our technology stack.

The Site is the property of North Atlantic. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

North Atlantic reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.

As long as you comply with these Terms of Use, North Atlantic grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

2. Acceptable Use

You agree to use our websites, APIs, and services only for lawful purposes, in compliance with all applicable regulations. The following are strictly prohibited:

  • Use in violation of applicable EU laws, including GDPR, The EU AI Act, EU and regional legislations

  • Any redistribution, resale, or sub-licensing of our tools without an explicit commercial agreement

  • Usage in high-risk, surveillance, or military environments unless expressly agreed upon in writing

  • Any action that attempts to reverse-engineer, clone, or replicate proprietary systems without license

3. Intellectual Property

All intellectual property rights, including copyrights, trademarks, trade secrets, and patents related to our software, models, APIs, outputs, and documentation, are owned by North Atlantic or its licensors.

North Atlantic grants clients and partners a limited, non-transferable license to use our systems as outlined in commercial agreements.

You may not remove branding, license text, or attribution requirements where applicable.

4. Hosting & Deployment

North Atlantic tools are available both:

  • As hosted services (where North Atlantic manages infrastructure), and

  • As self-hosted deployments (where clients run our solutions on their own infrastructure under license)

Self-hosted deployments are subject to contract terms including per-seat licensing and deployment limitations. Commercial usage requires a valid license and must include all contractual attribution clauses and usage restrictions.

We do not permit public redistribution of our models or tools outside of licensed use cases.

5. API Access and Monetisation

North Atlantic may offer API-based access to its technology stack (e.g. for RAG Bot or other services) under a usage-based fee structure. API usage is governed by:

  • Acceptable use standards

  • Token-based billing policies (as outlined in commercial terms)

  • Licensing restrictions (e.g. per-project or per-domain scope)

You may not use API access to repackage or compete with our services.

6. Output & Data

Unless otherwise agreed:

  • You retain ownership of the outputs generated using our tools

  • You are responsible for ensuring outputs are used lawfully, ethically, and within the constraints of your sector

North Atlantic assumes no liability for decisions made using AI-generated content, and reserves the right to audit large-scale usage for compliance purposes.

7. Privacy & Data Protection

We are fully compliant with GDPR and operate under a strict data-sovereignty model.

In hosted deployments, user content is never transmitted, shared, or stored outside the assigned server. All content remains strictly on the infrastructure provisioned for the client, with no external replication or transfer.

This excludes optional anonymised analytics and statistical metadata, or optional backup services, which may be added to the core deployment.

Self-hosted deployments are entirely private by design, offering full control to the customer.

8. License Validation

In both hosted and self-hosted deployments of the NORAI Frameworks, the core AI system – including all user content and processing – remains fully offline and within the customer-assigned infrastructure, unless specifically asked to perform tasks online, such as scraping or crawling.

However, the framework performs a lightweight outbound connection to our license server for the following purpose:

  • License Key Validation: This ensures software authenticity and prevents unauthorised deployments.

Compliance Considerations:

  • No personal data or user content is ever transmitted during the license check.

  • This check is performed using non-identifiable metadata only, such as instance ID and timestamp.

  • It is required solely for contractual operation of the software and is covered under legitimate interest.

Self-hosted customers remain in full control and may inspect or firewall license checks, with the full understanding that failure to validate the license will disable the software.

9. Termination

North Atlantic reserves the right to terminate service access if:

  • Terms are violated

  • Usage exceeds agreed scope

  • Payments are overdue

  • Malicious or unauthorised behaviour is detected

10. Warranty Disclaimer

We provide all software and services “as is”, without warranties of any kind unless otherwise agreed upon in writing.

11. Governing Law

  • For clients in the EU: governed by Finnish law, with disputes settled in Helsinki or in municipal registered jurisdiction of North Atlantic HQ.

  • For clients of North Atlantic UK: governed by UK law, with disputes settled in London.
